Terms of Service

1. Eligibility & Accounts

You must be at least 18 years old and legally capable of entering this agreement. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized access.

2. License to Use the Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal personal or business use. All rights not expressly granted are reserved.

3. Acceptable Use

Your use of the Services must comply with our Usage Policy. Without limiting that policy, you may not (a) use the Services in violation of law, (b) interfere with or disrupt the Services or related infrastructure, (c) attempt to access another user's account or data, or (d) use the Services to develop competing foundation models without a written agreement.

4. Subscriptions & Billing

• Paid plans renew automatically at the end of each billing cycle until cancelled from the Billing page.
• Fees are charged in advance and are non-refundable except where required by applicable law.
• We may change pricing with at least 30 days' notice; continued use after the effective date constitutes acceptance.
• You are responsible for any taxes, duties, or third-party fees associated with your use of the Services.

5. User Content

You retain ownership of the prompts and materials you submit ("Inputs") and of the responses you receive that are unique to your session ("Outputs"). You grant us a worldwide, royalty-free license to host, process, transmit, and display Inputs and Outputs solely to operate, secure, and improve the Services. You are responsible for ensuring you have the right to submit any Input.

6. AI Outputs & No Financial Advice

Zibi Outputs are generated by machine-learning models and may be inaccurate, incomplete, or outdated. Outputs are informational only and do not constitute investment, financial, legal, tax, or accounting advice. You are solely responsible for any decisions made based on Outputs and should independently verify on-chain data before acting.

7. Intellectual Property

The Services, including all software, models, branding, and documentation, are owned by Zibi and its licensors and are protected by intellectual-property laws. The HeyZibi name and logo are our trademarks. You may not copy, modify, distribute, or create derivative works except as expressly permitted by these Terms.

8. Third-Party Services

The Services may incorporate or interoperate with third-party APIs, model providers, or data feeds. We are not responsible for the availability, accuracy, or terms of those third parties; your use of them is governed by their own agreements.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZIBI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR DIGITAL ASSETS, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO ZIBI IN THE TWELVE MONTHS PRECEDING THE EVENT OR (B) USD $100.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or our Usage Policy, or if required by law. Sections that by their nature should survive termination will do so.

12. Changes to the Terms

We may update these Terms from time to time. Material changes will be posted on this page and, where appropriate, communicated by email. Continued use of the Services after the effective date constitutes acceptance.

13. Governing Law

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-laws principles. Disputes will be resolved in the competent courts of that jurisdiction unless mandatory consumer-protection laws require otherwise.
